Terms of Service
Effective 2026-06-19. The agreement between HubWho by Roffik and the agency using HubWho.
This document is provided as plain-language description and is not a substitute for legal advice. Enterprise customers can request a signed master services agreement.
1. The service
HubWho ("HubWho") is a software-as-a-service product operated by HubWho by Roffik ("we", "us"). HubWho provides billing, invoicing, payments, customer-portal, and reporting tooling for marketing agencies that resell Vendasta services. By creating an account you agree to these terms.
2. Subscription & billing
HubWho is sold on a monthly or annual subscription. Fees are charged in advance. We do not take a per-transaction percentage of payments processed through HubWho — payments flow directly to the merchant account you connect. Subscription fees are non-refundable except as required by law; you can cancel at any time and your subscription remains active until the end of the billing period.
3. Your responsibilities
You are responsible for the accuracy of the data you put into HubWho, the validity of the credentials you connect (Vendasta service account, payment processor, Plaid), the lawfulness of the invoices you send, and your relationship with your end-clients. You agree to comply with all applicable laws including consumer-protection, anti-spam, and tax regulations.
4. Payment processing
HubWho is a billing platform — not a merchant of record. When you connect Stripe Connect or a direct merchant (e.g. Authorize.net), the corresponding processor's terms govern the actual payment relationship between you and your end-client. HubWho is not a party to that contract and is not liable for chargebacks, disputes, or settlement failures.
5. Acceptable use
You may not use HubWho to send spam, run fraudulent invoices, process payments for prohibited goods or services (as defined by your processor), or access the API in a way that disrupts service for other tenants. Violations may result in immediate suspension.
6. Vendasta integration
HubWho is independent from Vendasta. We integrate via the Partner API using credentials you provide. You remain responsible for your Vendasta partner agreement. "Vendasta" is a trademark of Vendasta Technologies Inc.; HubWho is not affiliated with or endorsed by Vendasta.
7. Intellectual property
We retain all rights to HubWho's software, design, and brand. You retain all rights to your tenant data. By using HubWho you grant us a limited license to process your data solely to provide the service.
8. Warranty disclaimer
HubWho is provided "as is" without warranty. We do not guarantee uninterrupted service, error-free operation, or that the platform will meet every specific business need. We will use commercially reasonable efforts to maintain availability and respond to incidents.
9. Limitation of liability
To the fullest extent permitted by law, our liability is limited to the amount you paid to HubWho by Roffik in the 12 months preceding the claim. We are not liable for indirect, consequential, or lost-profit damages.
10. Termination
Either party may terminate by canceling the subscription. We may suspend accounts for material breach of these terms. On termination you can export your data for 30 days; after that we permanently delete tenant content (subject to the audit-log retention described in our privacy policy).
11. Governing law
These terms are governed by the laws of the United States and the state in which Roffik is registered, without regard to conflict-of-law principles.
12. Changes
We may update these terms from time to time. Material changes will be communicated by email at least 30 days before they take effect.
